Please read the terms of participation PAH-FEST CONTENT RELEASE In consideration of being permitted to participate in PAH-FEST by submitting my video project (“the Content”) I, the undersigned, hereby grant PAH Nation its affiliates, subsidiaries, assigns, licensees and legal representatives (“PAH Nation") the irrevocable, perpetual, worldwide right to use, reproduce, edit, market, store, distribute, publicly and privately display and perform, communicate, transmit and promote the Content (as such may be edited and modified by PAH in its discretion), or any portion thereof, through the PAH Nation Website and any other media whether now existing or hereafter devised, including, without limitation, such products or services as PAH Nation may designate, online or offline and by any means of delivery, for editorial, commercial, promotional and all other purposes. PAH Nation is not obligated to include the Content in this or any program, and PAH Nation reserves the right to remove the Content for any reason at its sole discretion. In addition, PAH Nation does not guarantee that technical difficulties will not occur during the upload of the Content or that the Content will upload successfully and in no event shall PAH Nation be responsible or liable for any failure to upload or exhibit the Content. While I retain ownership of all right, title, and interest in the Content itself, I agree that PAH Nation owns all right, title, and interest in any compilation, collective work, or other derivative work created by PAH Nation using or incorporating the Content or any portion thereof. I represent and warrant that (i) the Content does not and shall not infringe on any copyright or any other third-party right nor violate any applicable law or regulation, (ii) I have the right to grant any and all necessary rights and licenses provided herein, including, without limitation, all necessary copyright and other related rights to the Content, free and clear of all claims and encumbrances without violating the rights of any person or entity, including any right to privacy or publicity, and (iii) I have written releases from everyone who appeared in my Content. I further agree that you may use and license others to use my name, voice, likeness and any biographical material concerning me, in any and all media and in the promotion, advertising, sale, publicizing and exploitation of the Content in all media, throughout the world, one or more times in perpetuity. I further represent that any statements made by me during my participation in PAH-FEST are true, to the best of my knowledge, and that neither they, nor my appearance in any media related to promotion of Content will violate or infringe upon the rights of any third party. I hereby hold PAH Nation harmless from and against any liability, cost, damage or expense (including, without limitation, attorneys fees and costs) that PAH Nation may suffer or incur arising from, or in connection with, any third-party claim arising from or relating to, use of the Content. I waive any right to approve uses of the Content or to be compensated for any such uses. I hereby represent and warrant that I am at least 18 years of age and that I have read this release and are fully familiar with its contents and that PAH Nation is relying on the contents of this Content Release in permitting me to participate in PAH-FEST and create the Content. I understand that this release shall be governed by the laws of the State of California applicable to agreements wholly made and performed in said State. Any litigation relating hereto or to the Contest or any use thereof shall be brought in the federal or state courts located in Los Angeles, California. I have read and agree to the terms
